Locksmithly Terms of Service

These Terms of Service ("Terms") are a contract between you and Levered Media LLC, doing business as Locksmithly.com ("Locksmithly," "we," "us," or "our"). These Terms apply when you visit our website, call our phone number, or use any service we offer (the "Service").

By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1) Who Can Use the Service

You must be 18 or older to use the Service. By using the Service, you confirm you are at least 18 and able to enter into a contract.

2) What Locksmithly Does (And Does Not Do)

  • Locksmithly is not a locksmith company. We do not provide locksmith work.
  • We connect you with independent locksmith service providers ("Service Providers"). Service Providers are not our employees. They run their own businesses and control how they work.
  • You hire the Service Provider, not Locksmithly. Any work performed, quotes, invoices, warranties, and promises come from the Service Provider.
  • Payment is made to the Service Provider on-site. We do not collect payment for locksmith work.
  • We may receive a marketing or referral fee from Service Providers for connecting them with customers.
  • No endorsement: We do not recommend, sponsor, or endorse any specific Service Provider. We only connect you.

3) Key Definitions

  • "Service" means our website, call routing, lead/dispatch connection, and related support.
  • "Service Provider" means an independent locksmith or locksmith business we may connect you with.
  • "Covered Parties" means Locksmithly, Levered Media LLC, and each of our and their owners, officers, directors, employees, contractors, agents, representatives, affiliates, successors, and assigns, and Service Providers.

4) No Emergency Services / No Arrival Promises

  • We are not 911. If you are in danger, call emergency services.
  • We may try to connect you quickly, but we do not promise an arrival time, response time, or that a provider will be available.
  • Timing depends on your location, traffic, weather, demand, and provider availability.

5) Pricing and Quotes

  • Any price ranges shown on our website are typical estimates only.
  • Final pricing is set by the Service Provider after they review the job (often in person).
  • The final price can change due to job complexity, parts, lock/vehicle type, after-hours, damage, or other conditions.
  • You should ask for the full price before work starts and approve it before the provider begins.
  • Locksmithly does not set or control Service Provider prices.

6) Your Responsibilities

You agree that you will:

  • Provide accurate information (location, lock type, vehicle info, etc.).
  • Have the legal right to request the service (you own the property/vehicle or have permission).
  • Be present (or have an authorized adult present) when service is performed.
  • Keep pets, hazards, and unsafe conditions away from the work area.
  • Pay the Service Provider as agreed.
  • Treat Service Providers and support staff respectfully.

7) Proof of Ownership / Authorization

For many services (car keys, lockouts, safe opening, access control, etc.), Service Providers may require ID and proof of ownership or permission. You agree Service Providers may refuse service if they cannot confirm authorization. Locksmithly is not responsible for refusals.

8) Service Provider Screening

We may collect and review information from Service Providers (like license, insurance, bonding, or background info) when available. But we do not guarantee that any provider:

  • is licensed/insured/bonded in your area,
  • has current documents,
  • will perform correctly,
  • will meet your expectations.

You are responsible for confirming a provider is right for your job before authorizing work.

9) No Control Over Service Provider Work

Service Providers are independent. We do not control:

  • how they do the work,
  • tools or parts used,
  • time to complete,
  • pricing decisions,
  • warranties,
  • on-site safety practices.

Any dispute about the work is between you and the Service Provider.

10) Call Recording, Monitoring, and Communications

To run our Service, we may use call routing and tracking tools. Calls may be recorded or monitored for quality, training, fraud prevention, and customer support, where allowed by law.

If you provide your phone number or contact info, you agree that Locksmithly and/or Service Providers may contact you about your request by phone, text, or email, including automated systems where allowed. Message/data rates may apply.

You can opt out of marketing messages by following the opt-out instructions in the message or contacting us. (Service/transaction messages may still be sent as allowed by law.)

11) Information You Share

You agree that we may share the information you provide (like your name, phone number, location, and request details) with one or more Service Providers and vendors to:

  • connect you with help,
  • run and improve the Service,
  • prevent fraud,
  • comply with legal requirements.

Do not send sensitive information through the Service (like bank info, full social security numbers, or anything you don't want shared). Information you submit is not confidential.

12) Website Use Rules

You agree not to:

  • misuse the Service,
  • attempt to hack or break the site,
  • scrape or copy content at scale,
  • use the Service for illegal purposes,
  • impersonate someone else,
  • submit false or abusive requests.

We may block or limit access if we believe you violated these Terms.

13) Intellectual Property

Our website, logos, text, graphics, and software are owned by Locksmithly or our licensors and protected by law. You may use the Service for personal, lawful use only.

14) Third-Party Links and Services

The Service may include links or tools from third parties. We do not control them and are not responsible for their content, policies, or performance.

15) Disclaimer of Warranties

TO THE MAXIMUM EXTENT ALLOWED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
  • WE DO NOT PROMISE THE SERVICE WILL ALWAYS WORK, BE UNINTERRUPTED, OR BE ERROR-FREE.
  • WE DO NOT MAKE ANY WARRANTY ABOUT ANY SERVICE PROVIDER'S WORK, SKILL, PRICING, TIMING, OR RESULTS.
  • WE DO NOT GUARANTEE THAT A SERVICE PROVIDER WILL BE AVAILABLE IN YOUR AREA.

16) Release

TO THE MAXIMUM EXTENT ALLOWED BY LAW, YOU AGREE TO RELEASE THE COVERED PARTIES FROM CLAIMS, DISPUTES, AND DAMAGES OF ANY KIND THAT COME FROM OR RELATE TO:

  • A SERVICE PROVIDER'S WORK OR FAILURE TO WORK,
  • PRICING, QUOTES, OR FEES,
  • PROPERTY OR VEHICLE DAMAGE,
  • PERSONAL INJURY,
  • DELAYS, NO-SHOWS, OR REFUSALS OF SERVICE,
  • ANY INTERACTION BETWEEN YOU AND A SERVICE PROVIDER.

This release does not apply where prohibited by law.

17) Limitation of Liability

TO THE MAXIMUM EXTENT ALLOWED BY LAW:

  • THE COVERED PARTIES ARE NOT LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
  • THE COVERED PARTIES ARE NOT LIABLE FOR CLAIMS OR LOSSES CAUSED BY A SERVICE PROVIDER OR ANY THIRD PARTY.
  • IF A COURT FINDS LOCKSMITHLY LIABLE FOR ANY REASON, OUR TOTAL LIABILITY WILL NOT EXCEED $100 OR THE AMOUNT YOU PAID TO LOCKSMITHLY IN THE LAST 12 MONTHS, WHICHEVER IS GREATER. (NOTE: YOU TYPICALLY PAY SERVICE PROVIDERS ON-SITE, NOT US.)

Some states do not allow certain limits, so parts of this section may not apply to you.

18) Indemnity

To the maximum extent allowed by law, you agree to defend, indemnify, and hold harmless the Covered Parties from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from:

  • your use of the Service,
  • your interaction with any Service Provider,
  • your violation of these Terms,
  • your violation of any law or third-party rights.

19) Force Majeure

We are not responsible for delays or failures caused by events outside our reasonable control, including severe weather, disasters, power outages, internet or phone carrier issues, strikes, or government actions.

20) Termination

We may suspend or end your access to the Service at any time, for any lawful reason, including suspected fraud or misuse. You may stop using the Service at any time.

21) Changes to These Terms

We may update these Terms. When we do, we will update the "Last Updated" date. If you keep using the Service after changes, you agree to the updated Terms.

22) Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law rules, except where federal law applies.

23) Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

a) Informal Resolution First (Notice of Dispute)

Before starting arbitration or a court case, you agree to send a written "Notice of Dispute" to:

  • Email: contact@locksmithly.com
  • Subject line: Notice of Dispute

Include: your name, phone number, date of request, what happened, and what you want.

We will try to work with you in good faith. If we do not resolve it within 30 days, either side may proceed.

b) Binding Arbitration

Except for the exceptions below, you and Locksmithly agree that disputes will be resolved by binding arbitration, not in court.

Arbitration will be administered by the American Arbitration Association (AAA) under its consumer rules (or a similar provider if AAA is unavailable).

The arbitration will take place in Sheridan County, Wyoming, unless you and we agree otherwise, or the arbitrator allows a remote hearing.

c) Exceptions

Either party may:

  • bring an individual claim in small claims court (if eligible), or
  • seek an injunction for misuse of intellectual property.

d) No Class Actions

You and Locksmithly agree to bring claims only on an individual basis. You waive any right to participate in a class action, class arbitration, or representative action.

e) Opt-Out Right

You can opt out of arbitration within 30 days of first using the Service by emailing contact@locksmithly.com with:

  • your name,
  • phone number,
  • and a clear statement: "I opt out of arbitration."

f) Third-Party Beneficiaries

You agree that the Covered Parties are third-party beneficiaries of this Arbitration and Class Action Waiver section. This means any Covered Party may enforce this section against you.

24) Miscellaneous

  • If a court finds one part of these Terms invalid, the rest remains in effect.
  • These Terms and our Privacy Policy are the entire agreement about the Service.
  • You may not transfer your rights under these Terms without our permission.
  • We may transfer our rights as part of a merger, sale, or business transfer.
  • You agree that electronic acceptance (like using the Service) counts as your signature.
